Opening sp. z o.o. (Limited liability company)

One of the most popular forms of doing business in Poland is Sp. z o.o. (Limited liability company), its founders are liable only to the extent of their contribution.
In order for a foreigner to open a company, they must meet the requirements established by Polish law:
  • reaching the age of majority,
  • having a passport valid for at least 1.5 years in advance,
  • additionally, the authority may request a document confirming business experience in its home country or Poland, but this is not a prerequisite.
Opening a company includes the following steps:
  • determining the type of activity of an enterprise,
  • establishing the composition of the management board,
  • selecting and verifying the uniqueness of the company name,
  • selecting the legal address where the company will be registered,
  • preparation of educational documents,
  • determination and contribution of the authorized capital, submission of documents to the KRS (National Judicial register),
  • submitting an application to the tax inspectorate,
  • registration in the CRBR beneficiary register,
  • registration with ZUS (Social Security Administration),
  • registration of other issues related to the legal functioning of the enterprise.
Registration sp. z o.o. there are two ways to do this in Poland:
  1. Registration via the S24 system – the fastest way to register a company. The registration process usually takes 3 to 7 business days.
  2. Registration with a notary – allows you to prepare a contract that takes into account the individual needs of participants. The registration process usually takes more than 2 months. However, it should be borne in mind that making any changes to the company's documents will require the participation of a notary and will be associated with additional costs.

Opening of JDG (individual business activity)

Another of the most popular forms of doing business in Poland is individual entrepreneurial activity, in which the entrepreneur is personally responsible for all the company's obligations with his personal property.
Individual business activity (JDG) is a form of doing business in which the owner does not create a separate legal entity, but acts on his own behalf and is personally responsible for the obligations and debts associated with the activity. This is a popular option for small businesses, as it does not require large financial investments to start a business.
Conditions for foreigners to open a JDG in PolandIn order for a foreigner to open an individual business activity (JDG) in Poland, they must have one of the following legal statuses:
  • Resident card,
  • Pole's Card,
  • Permanent residence permit,
  • Polish citizenship,
  • Business Harbor visa (for Belarusian citizens),
  • A temporary residence card issued on the basis of business activity, family reunification, study, or international protection.
In addition, according to special rules, Ukrainian citizens can open a JDG in Poland regardless of the date of their arrival in the country.Registration of individual business activities is carried out through the central register and the business information system (CEIDG). This is a fast process that usually takes 1 to 3 business days, although in some cases it may take several extra days.
